1. Acceptance of Terms

By downloading, installing, or using EntityDesk ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not download, install, or use the App. These Terms constitute a legally binding agreement between you and NorseHorse ("we," "us," "our").

2. Description of Service

EntityDesk is a business entity management application that provides tools for business formation guidance, contract generation from templates, encrypted document storage, compliance tracking, and related organizational services. The App is available on iOS and related platforms.

3. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration

To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription Tiers

EntityDesk offers three tiers of service:

• Colt (Free) — 1 business entity, 10 contract templates, 100 MB encrypted vault storage, compliance calendar, PDF export.
• Stallion — $7.99/month or $59.99/year. 5 business entities, all 55 templates, 5 GB vault storage, push notification alerts, branded PDF export, ownership tracking, priority support.
• Herd (Lifetime) — $149.99 one-time purchase. Unlimited entities, all templates, unlimited vault storage, custom template builder, multi-user access, dedicated support.

Subscriptions are billed through the Apple App Store and managed via your Apple ID account settings. Prices may vary by region. Auto-renewable subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel subscriptions in your device's Settings under your Apple ID.

6. Contract Templates — Not Legal Advice

The contract templates provided by EntityDesk are for informational and convenience purposes only. They do not constitute legal advice, and we do not guarantee that any template is suitable for your specific situation, compliant with applicable laws, or enforceable in any jurisdiction. You should consult a qualified attorney before relying on any contract generated through the App. We are not a law firm and do not provide legal services.

7. Formation Guidance — Not Legal or Tax Advice

The business formation guidance provided by the App is for informational purposes only. We do not file documents on your behalf, and we do not guarantee the accuracy or completeness of state-specific formation information. You are solely responsible for verifying requirements with the appropriate state agency and consulting with legal and tax professionals.

8. Encrypted Vault

Documents stored in the vault are encrypted using AES-256-GCM encryption on your device before upload. We do not have access to your encryption keys or the plaintext contents of your documents. You are solely responsible for maintaining access to your encryption keys. If you lose your encryption keys, we cannot recover your documents.

9. Acceptable Use

You agree not to use the App to:

• Violate any applicable law, regulation, or third-party rights.
• Store, transmit, or distribute illegal content.
• Attempt to gain unauthorized access to the App's systems or other users' accounts.
• Interfere with or disrupt the App's operation or infrastructure.
• Use the App for fraudulent purposes, including creating false business entities or contracts with intent to deceive.
• Reverse engineer, decompile, or disassemble the App.

10. Intellectual Property

The App and its content, including but not limited to software, text, graphics, logos, icons, and contract templates, are the property of NorseHorse and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the App without our prior written consent. Your use of the App does not grant you ownership of any intellectual property rights in the App.

11. User Content

You retain ownership of all data, documents, and content you create or upload through the App. By using the App, you grant us a limited license to process and store your content solely for the purpose of providing the service. We do not claim ownership of your content and will not access, use, or share your encrypted documents.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORSEHORSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless NorseHorse and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the App at any time, without prior notice, if you breach these Terms. You may delete your account at any time through the App's settings. Upon termination, your right to use the App ceases immediately. Sections 10 through 14 survive termination.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and changing the "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Alabama.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NorseHorse regarding the App and supersede all prior agreements and understandings.
